At Tam Finley Design Studio™ we'll always do our best to fulfill your needs and hopefully surpass your expectations, but it's important to have things written down so that we both know what's what, who should do what and when, and what will happen if something goes wrong. In this contract, you won't find too many complicated legal terms or long passages of unreadable text. We've no desire to trick you into signing something that you might later regret. What we want is what's best for both parties, now and in the future. *

You, the above named client, are hiring Tam Finley Design Studio™ for web designand brand development services which are described within this contract for the total price listed below. You understand that if you decide to add-on any additional services that are not listed below you will be issued a separate invoice for the cost of those services. *

By selecting the branding and web design services you are requesting those services for your project and you agree to pay the associated fee for those services.
What We Expect From You
You agree that you will give us the monetary assets and information that we inform you to be necessary for the completion of the project. This includes all ‘Client Homework’. You’ll also provide info in the formats that we need. You’ll review our work and provide feedback and approval in a timely manner. The dates and deadlines will be set listed on your 'Project Timeline'. You also agree to follow the payment schedule set out in this contract. Failure to comply with any of the expected terms listed will serve as cancellation/termination of this contract. If that occurs, we will halt any work on the project and will not be responsible for returning any retainers paid, nor for providing any work on the project. *

Design & Branding
Web Design is an important component to your brand. We create appealing, exclusive designs with flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs that use predominantly HTML and CSS. We will be using the Squarespace platform to develop your site, unless you have a prior platform that you would like to utilize. If that is the case, you will be responsible for your own set-up fees (including hosting + domain + private registration). For clients that take advantage of our chosen platform, Squarespace, setup fees (hosting + domain + private registration) for one year are included in the price. At the completion of your project, your website, domain and their rights will be transferred to you. You will be responsible for any further payments and maintenance. Branding involves defining the look, feel, and voice of your services and products. We begin by brainstorming ideas and concepts around your brand. This usually involves sketching, drawing and several other design components. Throughout this process we gather information from you about your business and utilize it to identify the best way to market your particular services or products. Next, we build the site using that info. We use design to provide a cohesive brand that not only looks good, but gives the world an up close and personal view of how your products and services will meet their needs. We utilize Pinterest Boards and “Client Homework” to collaborate with you to provide visuals that assist us in indicating a creative direction (color, texture and typography) and “set the atmosphere” for your brand. You’ll have plenty of opportunities to review our work and provide feedback. We’ll share info and files via a password protected project page. We’ll contact you regularly regarding your project, sometimes via text or email. If at any stage, you’re not happy with the direction our work is taking and you no longer need our services, you’ll pay us in full for everything we’ve produced until that point and terminate/cancel this contract. *

Domain
We purchase a domain for one year with private registration from a third-party hosting site. At the completion of your project, we transfer your domain and its rights to you. It is your responsibility to renew, maintain your domain and to make any further payments.

Site Content

We’re not responsible for creating site content or producing stock images (unless you purchase the stock image package then the selected package will apply). You provide us with the pages you would like included, site content or text and images you want to begin your project. For example, we design the ‘About’ page after you have provided us with the text content and images needed. Any additional text, images, or pages requested after project completion will require an additional charge.

Graphics and Photographs
You will supply graphic files in an editable, vector digital format. You will provide photographs in high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search or provide photographs for you, this will require an additional charge which will be billed separately from the amount listed above. The fee for individual stock photographs is $15/image

HTML, CSS, and Javascript
We deliver web page types developed from HTML markup, CSS stylesheets for styling and unobtrusive JavaScript. We use the Squarespace platform so changes can be made easily. The Web Design & Branding Package includes a one-hour ‘How-To Tutorial’ at the final meeting. You will learn how to maintain and make basic changes to your website on your own. *

Browser Testing
We test browsers to ensure that a person’s experience of a design should be appropriate to the capabilities of a browser or device. We do not test to ensure that a website look the same in browsers of different capabilities or on devices with different size screens.

Desktop Browser Testing
We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), Mozilla Firefox and Opera. We’ll also test to ensure that people who use Microsoft Internet Explorer 11 for Windows get an appropriate experience. We do not test in other older browsers. If you need an enhanced design for an older browser, this will require an additional charge which will be billed separately from the amount listed above.

Mobile Browser Testing
Testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in: iOS 9: Safari, Google Chrome Android: Google Chrome on Android Emulator We do not test in Blackberry, Opera Mini/Mobile, specific Android devices, Windows or other mobile browsers unless requested in writing. If you need us to test using devices, other than Apple or Android, this will require an additional charge which will be billed separately from the amount listed above. *

Technical Support
We do not serve as a website hosting company. So we do not offer support for website hosting, email or other services relating to hosting. We will set up an account for you at one of our preferred hosting providers. However, the updates to and management of that server will be up to you once rights, permissions, and files have been transferred.

Search Engine Optimization (SEO)
We don’t guarantee improvements to your website’s search engine ranking, but the web pages that we develop are accessible to search engines. We enter keywords and phrases to direct traffic to your website. We do not guarantee that SEO will provide any additional traffic to your website.

Changes and Revisions
We don’t want to limit your ability to change your mind. The price at the beginning of this contract is based on the number of days (14) that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem. Once we reach that point, we will sit down and discuss changes and if needed we’ll provide a separate estimate for any additional days. *

Copyright
First, you guarantee that all elements of text, images or other artwork you provide are either owned by you or that you’ve been given permission to use them. Once your final payment has cleared, copyright will be automatically assigned as follows: You’ll own the visual elements that we create for your project. We’ll give you source files and finished files and you should keep them somewhere safe because we purge our files frequently. You own all elements of text, images and data you provided, unless someone else owns them. We’ll own the unique combination of these elements that constitutes a complete design and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.

Displaying Our Work
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, via social media, in magazine articles and in books.

Payment Schedule
We’re sure you understand how important it is as a business that you pay the invoices that we send you promptly. You agree to stick tight to the following payment schedule. Once you submit your initial payment you secure your project slot for four (4) weeks.

Payment 1 – Initial Non-refundable Retainer 50% due start day.
Payment 2 – Remaining Balance 50% due day of completion.

We issue an electronic invoice or you can use the payment button on our website. All invoiced payments are due upon receipt. Keep in mind that no work can begin until the initial invoice has been paid. Also final payments are due before completed goods will be transferred and released. We reserve the right to charge interest on all overdue debts at the rate of 10% per month or part of a month.

Small Print...Legal Stuff
Just like a student loan, you can’t transfer this contract to anyone else without our permission. This contract stays in place and needs not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place. We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. You understand that this contract is intended to be as broad and inclusive as permitted by the laws of Birmingham, Alabama and agree that if any portion is held unlawful, void, invalid, or for whatever reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of remaining provisions which will continue to be in full legal force and effect. I further agree that the venue for any legal proceedings shall be Birmingham, Alabama. *

By typing your name in the box below, you are consenting to use of the your typed name electronic signature in lieu of an original signature on paper. You have the right to request that you sign a paper copy instead. By typing your name in the box and using it as your electronic signature, you are waiving that right to sign a paper copy. After consent, you may, upon written request to us, obtain a paper copy of an electronic record. No fee will be charged for such a copy and no special hardware or software is required to view it. Your agreement to use an electronic signature with us for any documents will continue until such time as you notify us in writing that you will no longer wish to use an electronic signature. There is no penalty for withdrawing your consent you should always make sure that we have a current email address in order t o contact you regarding any changes if necessary.
Ex. Owner, CEO, CFO, Financial Secretary, etc. You must have the legal authority at this business to enter into this agreement on behalf of the business.
